Meeting Began 8:00p.m., present were: Dini, Helen, Hal, Sandy, Becky, Dave. 11/12/91 Meeting minutes were read and approved.
Finance committee: Virginia Stranahan donated generously and suggested a few contacts. Joanne Gall, attourney, has suggested ways to avoid expensive registering of member loans; file
them instead. We must make the loans as a private offering, which will enable us to get money out of state. Mention of loans in the newsletter may make it appear as a public offering, so we will retract the statement in next newsletter. Loan packet will be ready by 12/1. Loan filing will be timed to reduce costs. We must file within 60 days of receipt of capital. Joanne is working for us pro bono
; we may barter for ad space. She suggested that after loan consent is acquired, we reveal percentage and amount of loans to date and offer board meeting time to all who have questions.
Building Prep: As of 5;30 today, the roof is fixed! We are about one week behind schedule listed in previous meeting's minutes. Helen showed a lead on a $50–$100 cash register. Becky showed a used office equipment sale on 12/6. Parking lot will be repaired in the Spring. Helen will order a new door, flooring, etc. Then plumbing and sprinkler system are next.
Membership: 135 pd. members. 44 outstanding pledges. Charlie Johnson will follow up a letter already sent by Dini with a phone call. Dini suggested we contact our churches. Dave will call Claudia regarding her impromptu 10% coop member discount and we will vote about listing her in the next newsletter.
Education: Meets first & third Tuesdays. Hal listed ad rates, which will be listed in next newsletter. Mark Poletti researched radio ads, newspapers were researched. Becky will call Joanne about the newly printed You're Invited
flyer (regarding the mention of loans) before we distribute it.
Board is awaiting results of search for manager. Dave will call Theresa and check progress of interviews. Sandy moved we approve as submitted the design for the coop sign. Dave 2nded, motion carried unanimously. Adjourned about 9:45.
