Board Meeting on January 12, 2009

Meeting Minutes:

1. Purpose of the meeting is to organize the January 26^th meeting for the reason
   1. of showing the NCGA steering committee that the membership base has a desire to see the Phoenix Earth Food Co-op remain open.
2. A membership attendance of 10%, with 60% of that voting in favor is required for a change to an equity ownership system.
3. Lisa Blake introduced a motion to declare the Membership Meeting to be held on the 26^th, an emergency meeting.
   1. Will Mellon seconded the motion and the board approved.
4. Discussion of the content of the meeting.
   1. Board member introductions.
   2. Co-op progress and headway.
   3. The benefits of a co-op.
   4. Introduction to equity systems followed by a Q&A session.
   5. Minimal discussion of budget issues.
5. John Klear and Halasz Sandor agreed to review the membership database and create membership lists for each director to contact about the 26^th meeting.
6. Halasz Sandor and Lisa Blake agreed to develop an equity payment plan.
